Terms of Service
1. Eligibility
You must be at least 13 years old to use PinLyve. If you are between 13 and the age of majority in your jurisdiction, you may only use the App with the consent of a parent or guardian. If you are creating a Business Member account, you represent that you are authorized to act on behalf of that business.
2. Your Account
You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at contact@pinlyve.com if you suspect unauthorized use. We are not liable for any loss resulting from unauthorized access to your account caused by your failure to safeguard your credentials.
3. Acceptable Use
You agree not to:
- Post content that is false, misleading, defamatory, harassing, hateful, sexually explicit, violent, or illegal.
- Impersonate another person, business, or entity, or misrepresent your affiliation with one.
- List a business you don't own or are not authorized to represent.
- Post events that don't actually exist or that you don't intend to host.
- Use the App to send spam, advertise unrelated products, or solicit other users for off-platform transactions.
- Attempt to access other users' accounts, scrape data, reverse-engineer the App, or interfere with its operation.
- Use the App for any illegal purpose or in violation of any local, state, federal, or international law.
We reserve the right to remove any content and suspend or terminate any account that violates these rules, at our sole discretion and without notice.
4. User Content
You retain ownership of the content you post (events, photos, reviews, business profiles), but by posting it you grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content within the App and in promotional materials for PinLyve.
You represent that you have all rights necessary to grant us this license — for example, that you own the photos you upload or have permission to use them.
We are not responsible for the accuracy, quality, or legality of user content. Reviews and ratings represent the opinions of the users who posted them.
5. Business Subscriptions
Business Members may subscribe to a paid plan to publish events and access business features. Subscription plans, pricing, and trial lengths are shown in the App at the time of signup.
- Subscriptions automatically renew at the end of each billing period at the then-current rate, until canceled.
- You may cancel at any time. Cancellation takes effect at the end of the current billing period; you retain access until then.
- We do not issue refunds for partial billing periods, except where required by law.
- We may change subscription pricing on notice. If you do not agree to a price change, you may cancel before it takes effect.
- Trial periods are available only to first-time subscribers. Abuse of trial periods (such as creating multiple accounts) may result in cancellation without refund.
- Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.
Member accounts are and will remain free.
6. Removal of Content and Termination
We may remove any content or suspend or terminate any account at any time, with or without notice, if we believe a violation of these Terms has occurred or if we are required to do so by law. You may also terminate your account at any time from Settings → Danger Zone → Delete account.
Upon termination, your right to use the App ends immediately. Sections of these Terms that by their nature should survive termination (including ownership, indemnification, disclaimers, and limitation of liability) will survive.
7. Third-Party Services
The App relies on third-party services, including Google Firebase (hosting, authentication, database, storage) and Stripe (payments). Your use of those services through the App is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.
8. Disclaimers
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- Events, business hours, or business information shown in the App are accurate, current, or complete.
- The App will be available without interruption or free of bugs.
- Any content posted by other users is reliable or appropriate.
You use the App and rely on information in it at your own risk. Always confirm event details directly with the host before going.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINLYVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR USE OR INABILITY TO USE THE APP, (b) ANY CONTENT OBTAINED FROM THE APP, OR (c) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.
In no event will our aggregate liability to you exceed the greater of (i) the amounts you paid us in the twelve months preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars ($100).
10. Indemnification
You agree to indemnify and hold harmless PinLyve, its officers, employees, and agents, from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the App, your content, or your violation of these Terms.
11. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you in the App or by email. Continued use of the App after the changes take effect constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the App will be resolved exclusively in the state or federal courts located in Texas, and you consent to the jurisdiction of those courts.
